Terms and Conditions

1. Scope of Application

These Terms and Conditions apply to all quotations, deliveries, services, and business relationships between NDT Shop, operated by Innovation Linkedin GmbH, and its customers.

Conflicting or deviating terms of the customer shall only become valid if expressly confirmed by us in writing.

2. Quotations and Contract Conclusion

All quotations, product specifications, and pricing information are non-binding unless explicitly designated as binding in writing.

Orders shall only become legally effective after written order confirmation issued by NDT Shop or after execution of a mutually signed agreement.

Technical modifications, product improvements, and design adjustments remain reserved within reasonable commercial limits.

3. Prices and Payment Terms

All prices are stated in EUR and are net prices excluding statutory VAT, customs duties, shipping costs, insurance, and other applicable charges unless otherwise agreed in writing.

Payment terms shall be specified in the quotation, invoice, or contract documentation.

Unless otherwise agreed, deliveries may be subject to advance payment.

In the event of delayed payment, we reserve the right to suspend deliveries, services, or support obligations until payment has been completed.

4. Delivery and Lead Times

Delivery times are estimated based on current production capacity and logistics conditions.

Delays caused by force majeure, supplier delays, transportation disruptions, customs clearance issues, governmental restrictions, or other circumstances beyond our reasonable control shall not constitute a breach of contract.

Partial deliveries are permissible where commercially reasonable.

5. Transfer of Risk

The risk of accidental loss or damage shall transfer to the customer upon shipment dispatch, handover to the carrier, or collection by the customer, unless otherwise agreed in writing.

6. Warranty

Unless otherwise agreed, industrial videoscope systems supplied by NDT Shop are covered by a standard warranty period of 24 months from delivery date.

The warranty exclusively covers defects resulting from normal intended use under proper operating conditions.

The warranty does not cover:

  • Consumable parts

  • Wear and tear

  • Accidental damage

  • Improper handling or misuse

  • Unauthorized modification or repair

  • Damage caused by external force or improper storage

Warranty service shall be limited to repair, replacement, or technical correction at our discretion.

7. Repairs and Service Work

Repair quotations are based on visible inspection and preliminary technical evaluation.

Additional defects or hidden internal damage discovered during service procedures may require revised quotations or additional repair costs.

Customers will be informed before additional repair work is carried out.

8. Demo and Loan Equipment

Demo systems, loan equipment, and trial units remain the property of NDT Shop unless otherwise agreed in writing.

Customers are responsible for proper handling, storage, and operation of demo equipment during the evaluation period.

Any damage, loss, contamination, or abnormal wear occurring during the demo period may result in repair or replacement charges.

Demo equipment shall be returned in acceptable condition after completion of the agreed trial period.

9. Limitation of Liability

NDT Shop shall only be liable for damages caused by intentional misconduct or gross negligence.

To the extent permitted by applicable law, liability for indirect, incidental, or consequential damages is excluded, including but not limited to:

  • Loss of profit

  • Production downtime

  • Business interruption

  • Loss of contracts

  • Loss of data

  • Extended economic damages

Mandatory liability under German product liability law remains unaffected.

10. Retention of Title

All delivered goods remain the property of NDT Shop until full payment of all outstanding amounts has been received.

11. Export Control and Compliance

Customers are responsible for compliance with applicable import, export, customs, and local regulatory requirements in their respective countries.

Products supplied by NDT Shop may be subject to export control regulations and may not be resold or transferred in violation of applicable laws.

12. Applicable Law and Jurisdiction

These Terms and Conditions shall be governed exclusively by the laws of the Federal Republic of Germany.

Place of jurisdiction for all disputes arising from contractual relationships shall be Krefeld, Germany, to the extent legally permissible.

Both parties shall first attempt to resolve disputes through amicable negotiation before initiating legal proceedings.

13. Severability Clause

Should any provision of these Terms and Conditions become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
